General Terms of Service
By accessing this website, or registering as a user, you accept the following terms as a legally binding contract between you and GigPerfect, LLC, a Texas corporation. These terms of use are subject to change without notice. In the event of a change, the updated version will be accessible through our homepage.
RepairFlip™ is an innovative marketplace. Generally speaking, it connects those seeking to sell household items that are damaged, devalued, or otherwise in need of repair, with those able to repair, recycle, up-cycle or refurbish said items. As a marketplace facilitator, we are not responsible for the conduct of those hired through our platform.
How To Use Our Service
1) “Registration.” Required for those seeking to either buy or sell items in the platform. Those who register may list items for sale, and may make non-binding offers to purchase items.
2) “Make An Offer.” All listings are “name your price” and offers between $5 and $55 are accepted. If you wish to make an offer, you may make it at, above, or below the asking price. The seller will need to accept the offer.
3) “Payment Escrow.” If the seller accepts your offer, you will receive an email for us requesting payment. You will need to pay us an escrow payment via Zelle®, a rapid payment service which is offered via many major and community banks in order to proceed to the item exchange.
4) “Exchange Item.” After we successfully receive payment for your item which the seller accepted the offer for, we will connect the buyer and seller via Email Relay service. This is used for coordinating the exchange of item. All parties agree that a judicious exchange of the item is in the interest of all parties, and will work to exchange the item on a best efforts basis once the buyer and seller are connected.
5) “Report Transaction.” Both the buyer and seller are given a portal to report the transaction to the admin, in the event there is a dispute or unsuccessful transaction.
24 Hour Dispute Policy. Buyers and sellers have 24 hours to dispute transactions marked as “successful” or “failed” by either party after payment is collected by us and the transaction is reported by either party. After 24 hours, funds will be transferred for transactions marked “successful”, or refunds issued for transactions marked “failed” and will not be disputable.
Marketplace Transaction Fees. All parties agree to a 10% fee on the total value of all transactions through the platform collected by Gigperfect LLC for it’s services rendered, which we deduct automatically.
Trademarks Claimed by Us. We claim exclusive rights to the use of the RepairFlip™ name and logo in commerce. We claim these rights to the maximum extent allowable by law. Use of the logo without the express written permission of GigPerfect™ directors is not allowed. Commercial use of the GigPerfect™ name is also prohibited to the maximum extent allowable by law.
Third Party Trademarks: Gigperfect LLC does not claim ownership of any federal trademarks, service marks, or trade names owned by our service partners. All trademarks and service marks are the property of their respective owners.
Spam and Robots. No commercial entity may index, spider, crawl, scrape or aggregate content from this website programatically that is in a password- protected portion of the website without the express written permission of GigPerfect™.
Age Requirements: By using this website, you affirm that you are at least 18 years of age or that you have obtained the necessary parental or guardian consent to use the website if you are a minor. If you are a minor 16 years of age or older, you may only use this website with the consent of a parent or legal guardian who has agreed to be bound by these Terms and Conditions.
If you are a parent or guardian providing consent for a minor to use the website, you agree to personally supervise the minor’s usage of the site at all times and during all transactions and take full contractural responsibility for their actions while using the service. You further represent and warrant that you have the legal authority to provide such consent. While in certain jurisdictions contracts made by minors are voidable, all parties agree after the transfer of money and bargained for item made with parental or guardian consent, the transaction is finalized by the authority of the adult providing consent.
Privacy Policy. By accessing our site, you consent to our Privacy Policy.
No Direct Dealing. By accessing and using our site, you agree to pay the fees for transactions and not subvert the marketplace by various methods, such as exchanging contact info surreptitiously prior to a transaction completing for the purposes of fee avoidance. Doing so will result in a ban, and vendors doing so will have their pending listings deleted.
Severability Clause. If any provision of this Agreement is or becomes illegal, invalid or unenforceable in any jurisdiction, that shall not affect the validity or enforceability in that jurisdiction of any other provision of this Agreement.
No Warranties. YOU AGREE THAT BY USING OUR SERVICES, GigPerfect™ AND AFFILIATED SERVICES, SUCH SERVICES ARE PROVIDED WITHOUT WARRANTY OF ANY KIND. WE EXPRESSLY DISCLAIM ANY WARRANTIES OF ACCURACY, TIMELINESS, MERCHANTABILITY OF PURPOSE, OR VALUE. ALL SERVICES ARE PROVIDED “AS IS”. WEBSITE OUTAGES OR TECHNICAL DIFFICULTIES MAY OCCUR CAUSING AN INTERRUPTION OF OUR SERVICE. INTERRUPTION OF OR TECHNICAL DIFFICULTIES WITH OUR SERVICE IS A RISK WHICH YOU THE USER SOLELY BEAR. WE SHALL NOT BE LIABLE FOR CLAIMS OF DAMAGES EVEN IF WE HAVE BEEN EXPRESSLY INFORMED OF THE POSSIBILITY OF DAMAGES ARISING THROUGH THE USE OF OUR SERVICE. YOU AGREE TO HOLD US HARMLESS FROM CLAIMS OF LOST PROFITS, PUNITIVE, CONSEQUENTIAL, OR ANY DAMAGES WHATSOEVER ARISING FROM THE USE OF OUR SERVICE.
Indemnification. YOU AGREE TO HOLD HARMLESS GigPerfect™, EMPLOYEES, CORPORATE AFFILIATES, CORPORATE MEMBERS, DIRECTORS, THIRD PARTY ADVERTISERS, AND VENDORS FROM CLAIMS ARISING FROM THE USE OF AND THE PROMOTION OF OUR SERVICE. WE SHALL NOT NOR SHALL OUR THIRD PARTY CORPORATE AFFILIATES AND ADVERTISERS BE LIABLE FOR DAMAGE TO COMPUTER SYSTEMS ARISING FROM THE USE OF OUR SERVICES. YOU AGREE THAT YOUR SOLE REMEDY FROM DISSATISFACTION OF USING OUR SERVICE IS THE DISCONTINUATION OF THE USE OF OUR SERVICE.
No Class Action. Suits are agreed to be settled individually, not as a group, in the event of a dispute between users and Gigperfect.
Choice of Jurisdiction. If we become a party to any litigation, it is agreed that the defendant will have choice of jurisdiction from any court of the U.S. contiguous 48 states.
No Harmful Material. Sellers agree not to list items for sale which are not just broken but also potentially harmful. This includes recalled items, or items which are known to contain dangerous electrical faults.
Dispute Policy. In the event a transaction is unsuccessful or there is a disputed transaction, we at our sole discretion may investigate and equitably provide remedy to settle the dispute; by means of which including but not limited to refunding parties at our sole discretion, or advising the return of items by one user to another. All parties agree to allow us to investigate, to the extent allowable by law including the hiring of private investigation service providers as compliant by state and federal law to investigate disagreements to come to an equable, commercially expeditious, fair and just resolution. All parties agree that their sole remedy to an adverse dispute resolution made by us which they disagree is to discontinue using the platform.
Payments. Users must have or be able to sign up for Zelle® in order to purchase items and to receive payments for items. Payments for items successfully sold will be sent to the email address on file linked to the Zelle® account. No other payment methods or means will be provided if requested, such as cash, check or credit card.
Refund Policy. At times it will be necessary for the admin to refund users at their sole discretion in order to maintain an orderly and fair marketplace. Examples include refunds for the payment of items of unsuccessful transactions or when two or more users try to buy the same item and send payment. Refunds will be sent using Zelle® to the email address of the user which registered on the website on file. Other methods of refund may be utilized by the site admin at their sole discretion.
Moderation. Activities which are not in the best interest of the community by any account holder will be subject to corrective action, which may includes account limitation or permanent suspension. The site administrator at their sole discretion may moderate, limit, edit and amend all data and content on the website.
Tax Compliance: As a marketplace facilitator, selling used items we are exempt from collecting sales tax. New items are prohibited on the platform as they are subject to sales tax.
Downtime and Business Continuity Plan: Under no circumstances shall Gigperfect LLC be liable for lost profits, or damages in the event of downtime or technical failures of it’s service. This includes in the event that writers miss out on work due to technical failure. Gigperfect is a startup company and may cease operations abruptly and without notice. In the event that occurs, under no circumstances shall it or its directors be liable for lost profits or economic damages
